1. Acceptance of Terms

EVqualified ("we," "us," or "our") operates evqualified.com (the "Site"), a directory of electric vehicle (EV) and hybrid repair shops in Minnesota. By accessing, browsing, or using the Site in any way, you ("you" or "user") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must immediately stop using the Site.

2. Description of Service

EVqualified is an informational directory that helps EV and hybrid vehicle owners locate repair shops in Minnesota. We compile and present publicly available information about automotive repair businesses, including business names, addresses, phone numbers, websites, hours of operation, services offered, and our proprietary certification-level assessments. We do not provide automotive repair services, schedule appointments on behalf of shops, process payments, or act as an intermediary between users and shops in any capacity.

3. Directory Listings & Accuracy

Our directory contains information about EV repair shops gathered from publicly available sources, shop submissions, and our own research. You acknowledge and agree that:

• We do not guarantee that any listing information is complete, accurate, current, or error-free.
• Shop hours, services, pricing, staff qualifications, and availability may change at any time without notice to us.
• Inclusion in our directory does not constitute an endorsement, recommendation, warranty, or guarantee of any shop's services, workmanship, qualifications, safety practices, or business conduct.
• We are not responsible for any interactions, transactions, agreements, disputes, damages, injuries, or outcomes between you and any listed shop.
• Listing information, including photos and descriptions, may not reflect the current state of a business.
• Some shop images displayed may be stock photographs and do not depict the actual business location.

4. Certification Levels & Verification

EVqualified assigns certification levels (Level 1, Level 2, and Level 3) to shops based on our proprietary evaluation process. By using the Site, you acknowledge and agree that:

• Certification levels reflect our independent assessment at the time of evaluation and may not reflect a shop's current capabilities, training, equipment, or staffing.
• Our evaluation process is based on publicly available information, self-reported data from shops, and our own research. It does not include on-site inspections, equipment audits, skills testing, or verification of individual technician credentials.
• Certification levels are our opinion and editorial assessment only. They are not a guarantee of service quality, safety, competency, regulatory compliance, or customer satisfaction.
• A higher certification level does not guarantee better service outcomes than a lower level.
• We may change certification criteria, levels, or a shop's assigned level at any time without notice.
• You should always conduct your own independent research, ask questions, verify credentials, and exercise due diligence before entrusting any repair provider with your vehicle, especially for high-voltage EV systems which can pose serious safety risks.

5. Shop Listings, Updates & Removal

Shops are listed in our directory based on publicly available information and do not require the shop's consent to be listed. Shop owners and authorized representatives may:

• Request corrections or updates to their listing information by contacting us.
• Request removal of their listing from our directory at any time.
• Submit additional documentation to support a change in certification level, which we will review at our discretion.

We reserve the right to add, modify, reclassify, or remove any listing at our sole discretion, for any reason, and without prior notice. We are under no obligation to list any particular business, maintain any listing, or explain our editorial decisions.

6. No Professional or Safety Advice

All information on this Site is provided for general informational purposes only. Nothing on the Site constitutes professional automotive advice, mechanical recommendations, safety guidance, legal advice, or any other form of professional counsel. High-voltage EV and hybrid systems are inherently dangerous and should only be serviced by qualified professionals. Always consult a qualified, licensed professional before making decisions about your vehicle's maintenance, repair, or safety. We are not responsible for any decisions you make based on information found on this Site.

7. Shop Listings

Shop placement and certification levels in our directory are determined by our independent evaluation process. We reserve the right to introduce advertising, sponsored listings, or other monetization methods in the future, which will be clearly disclosed.

8. Intellectual Property

All content on the Site, including but not limited to text, design, layout, graphics, logos, the EVqualified name and brand, the certification-level system and methodology, data compilations, and software, is our property or is used with permission and is protected by applicable copyright, trademark, and intellectual property laws. You may not:

• Reproduce, distribute, modify, display, or create derivative works from our content without prior written consent.
• Use the EVqualified name, logo, or certification-level designations in any manner that suggests endorsement or affiliation without our written permission.
• Frame, mirror, or otherwise incorporate any portion of the Site into another website or service.

Shop names, logos, and trademarks displayed on the Site belong to their respective owners and are used for identification purposes only.

9. User Conduct

When using the Site, you agree not to:

• Scrape, crawl, spider, index, or harvest data from the Site by automated means beyond what is expressly permitted by our robots.txt file.
• Use the Site or its data to build a competing product, directory, or service.
• Use the Site for any unlawful purpose or in violation of any applicable local, state, or federal laws.
• Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems.
• Attempt to interfere with the Site's operation, availability, or security, including through denial-of-service attacks or introduction of malware.
• Submit false, misleading, defamatory, or fraudulent information through any forms or communication channels on the Site.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the Site in any manner that could damage, disable, overburden, or impair the Site or its infrastructure.

10. User Submissions

If you submit information to us through forms on the Site (such as "Get Listed" or "Request a City"), you represent that the information is truthful and accurate. You grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, display, reproduce, and modify any information you submit for the purpose of operating and improving the Site. We are under no obligation to respond to, act on, or use any submissions.

11. Disclaimer of Warranties

The Site and all content, information, listings, certification levels, and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

12. Limitation of Liability

To the fullest extent permitted by applicable law, EVqualified and its owners, operators, officers, directors, employees, agents, contributors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, vehicle damage, personal injury, or other intangible losses, arising out of or in connection with: (a) your use of or inability to use the Site; (b) any information, content, or listings provided on the Site; (c) any interactions, transactions, or disputes with listed shops; (d) unauthorized access to or alteration of your data; or (e) any other matter relating to the Site, even if we have been advised of the possibility of such damages. In no event shall our total liability to you exceed one hundred dollars ($100.00 USD).

13. Indemnification

You agree to indemnify, defend, and hold harmless EVqualified and its owners, operators, officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any content or information you submit to the Site.

14. Third-Party Links

The Site may contain links to third-party websites and services, including shop websites, Google Maps, social media profiles, and other external resources. These links are provided for convenience only. We do not control, endorse, or assume responsibility for the content, privacy policies, practices, or availability of any third-party sites or services. Your interactions with third-party sites are governed by their own terms and policies.

15. Privacy, Cookies & Tracking

Your use of the Site is also governed by our Privacy Policy. We use cookies and similar tracking technologies, including Google Analytics, Microsoft Clarity, and Vercel Analytics, to collect anonymized usage data, session replays, and performance metrics. These tools help us understand how visitors interact with the Site and improve the user experience. We do not use tracking for targeted advertising. By using the Site, you consent to such collection and use as described in our Privacy Policy.

16. Modifications to the Site & Terms

18. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall first be attempted to be resolved through informal negotiation by contacting us. If informal resolution is not successful within thirty (30) days, any remaining dispute shall be resolved through binding arbitration in Hennepin County, Minnesota, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

19. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and you consent to the personal jurisdiction of such courts.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EVqualified regarding your use of the Site and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
